§4 Prices; terms of payment
IV.1 Prices are available on demand and depend on the quantity.
IV.2 In principle the current list prices shall apply as specified in the order confirmation. These are quoted ex works, exclusive of VAT and exclusive of delivery charges.
IV.3 Notwithstanding, we reserve the right to increase fixed prices owing to the increase in general costs such as wage raises, increases in costs of raw and auxiliary materials, raise and implementation of taxes, increase in transport costs, disposal and recycling costs or similar.
IV.4 Invoices shall become due NET without deduction, in so far as not agreed otherwise, within 14 days from receipt of a proper invoice.
IV.5 It shall not be permissible to set-off any of the Customer’s counterclaims against SOREX - Wireless Solutions GmbH, whether contested or legally assessed. The same shall apply for the assertion of the Customer’s right to retain.
IV.6 Drafts and checks shall only be accepted on account of performance. A payment by draft has to be agreed on specifically. Interest and the costs of discounting or drawing of drafts and checks shall be at the Customer’s expense.
IV.7 Failure to comply with the terms of payment due to circumstances that indicate a lowered credit standing of the Customer and that are only revealed to us after the contract signing shall result in immediate maturity of all outstanding claims even in case of deferral. Also, we shall be entitled to immediate payment in case of outstanding drafts.
